The LRC has pleasure in inviting you to the launch of its Distinguished Speakers' Programme featuring Pro-fessor Michael Katz, who will discuss the new Companies Act which introduces significant changes to the regulation of South African companies, including non-profit organisations formed and incorporated under the old Companies Act. The purpose of the new Companies Act is, amongst others, to"...provide for the for-mation, operation and accountability of non-profit companies in a manner designed to promote, support and enhance the capacity of such companies to perform their function..." The passing of this Act is the result of a lengthy and rigorous legislative review process that involved widespread public participation.
Professor Katz is featured as a leading lawyer in the Guide to the World's Leading M&A Lawyers and is the co-author of Butterworths Company Law Precedents (4 Volumes). Professor Katz, Chairman of Edward Nathan Sonnenbergs, has 40 years of experience in take-overs and mergers, competition law and tax, privatisation and deregulation, project finance and non-recourse financing, public private partnerships, empowerment ventures and banking and financial markets. He is a trustee of the LRC, among numerous others. Join Professor Katz for an overview of the new Companies Act including how it impacts on the organisation-al structure of the Non-Profit Company; how it affects the name and classification of a Section 21 Company and its registration ; who can serve as a director of an NPO; and the expectations and liabilities of directors.
